WHEREAS it has been five years since Governance Bylaw 2016-01 was adopted at the 2016 Annual Convention, and

WHEREAS it was deemed prudent to undertake a review of the Governance Bylaw to simplify and improve the wording in the bylaw and identify potential changes to update the bylaw.

BE IT RESOLVED that the Board be authorized to revise Governance Bylaw 2016-01 to consolidate or split bylaw clauses or revise the wording of clauses to simplify or improve the bylaw, provided the changes to do not change the intent of the original clauses; revise the numbering of clauses as necessary; revise the bylaw sections; standardize the use of defined terms; and correct punctuation and spelling; and

BE IT FURTHER RESOLVED that Governance Bylaw 2016-01 be amended to add the definition of “Election” where “Election” means a vote at an annual convention to elect a President, a Vice-President, or a Director for the full term of office of the position; and

BE IT FURTHER RESOLVED that Governance Bylaw 2016-01 be amended to add a clause to give the authority to the Board to adopt a policy with respect to permitting or restricting attendance at Board meetings of individuals or groups.
